Welcome to the DOJODIGI Affiliate/Referral Program! By participating in our Affiliate Program (the "Program"), you ("Affiliate") agree to comply with the following Terms and Conditions. This document outlines the terms governing your participation, commission structure, payout schedule, responsibilities, and other critical aspects of the Program.

1. Program Overview

1.1 DOJODIGI offers Affiliates the opportunity to earn a commission for referring new customers to DOJODIGI’s platform. Affiliates will earn a 10% commission on each paying referral for up to 24 months.

1.2 The commission increases to 20% if the Affiliate assists in directly closing the sale (including securing payment).

1.3 Commissions are paid monthly, following a 60-day hold period for each payout.

1.4 Key Definitions:

“Qualified Referral” means a new customer who (a) is not an existing customer, lead, or opportunity in DOJODIGI’s systems within the prior 180 days; (b) signs up via the Affiliate’s unique link or is approved via a retroactive request under clause 3.4; and (c) pays subscription fees that are not refunded or charged back during the applicable hold period.

“Net Receipts” means amounts actually received by DOJODIGI from Qualified Referrals, excluding taxes, duties, chargebacks, refunds, credits, reversals, promotional discounts, third-party pass-through fees and amounts paid to third-party providers.

“Good Standing” means the customer’s account is active, not in arrears and not in breach of DOJODIGI terms.

“Assist in Closing” means the Affiliate (i) attends at least one DOJODIGI-hosted sales call with the prospect and (ii) materially advances the sale as evidenced by DOJODIGI’s CRM notes. DOJODIGI’s determination is final.

2. Eligibility and Registration

2.1 Anyone with a DOJODIGI account may apply to become an Affiliate.

2.2 Affiliates are not considered employees, agents, or representatives of DOJODIGI and may not represent themselves as such.

2.3 DOJODIGI reserves the right to accept or reject any Affiliate application in its sole discretion.

2.4 No Authority to Bind. The Affiliate has no authority to make representations, warranties, promises or commitments on behalf of DOJODIGI or to bind DOJODIGI to any contract.

2.5 Branded Communications. The Affiliate shall not use DOJODIGI email domains, job titles or signatures that could reasonably imply employment/agency.

2.6 Reliance Excluded. DOJODIGI shall not be liable for any statement or commitment made by an Affiliate that has not been expressly approved in writing by DOJODIGI.

3. Unique Affiliate Links and Tracking

3.1 Each Affiliate will receive a unique affiliate link to track referrals. All referrals must sign up through this link to ensure commission eligibility. If their unique affiliate link is unavailable or not applicable, they may submit their affiliate request through the submission form provided at the start to ensure commission eligibility.

3.2 DOJODIGI is not responsible for tracking issues that may arise from cookies being disabled on a user's device, or any technological limitations impacting link tracking.

3.3 If a referred customer does not use the Affiliate's link to register, DOJODIGI may consider retroactive requests on a case-by-case basis; however, DOJODIGI is not obligated to assign referrals retroactively.

3.4 Limitation on Retroactive Adjustments: Requests for retroactive commission adjustments (for referrals that did not use the affiliate link) will be considered only within fifteen(15) days of the referral’s sign-up. Beyond this timeframe, no retroactive commission adjustments will be made.

4. Responsibilities and Code of Conduct

4.1 Affiliates may engage in cold outreach but must not misrepresent themselves as being officially associated with DOJODIGI.

4.2 Affiliates are responsible for connecting referred customers with DOJODIGI and assisting through the process of booking a live demo with DOJODIGI. Failure to comply may result in the forfeiture of commissions.

4.3 Affiliates must be professional and polite and may not engage in any deceptive or unethical practices, including, but not limited to, spamming, misrepresenting DOJODIGI’s services, or providing inaccurate information. Legal action may be taken against the Affiliate if their actions andpractices damages DOJODIGI's reputation.

4.4 Fraud Prevention and Compliance Monitoring: DOJODIGI reserves the right to monitor Affiliates’ activities to prevent fraudulent behavior or non-compliance with these Terms. If DOJODIGI suspects any suspicious activity, it may suspend or terminate the Affiliate account, withhold commissions, and report any potential violations to relevant authorities as necessary.

4.5 Non-Circumvention: Affiliates agree not to solicit DOJODIGI’s existing customers for similar or competing services. Affiliates also agree not to directly solicit or engage with any DOJODIGI employee, contractor, or other Affiliate without prior written consent from DOJODIGI.

4.6. The Affiliate represents and warrants that all representations made about DOJODIGI’s products or services are true, accurate and not misleading. Breach of this warranty will result in immediate termination and forfeiture of any outstanding commissions.

4.7 Data Protection & Anti-Spam. The Affiliate shall comply with all applicable data protection and marketing laws, including Singapore’s Personal Data Protection Act 2012 and Spam Control Act 2007 (as amended) and any applicable Do-Not-Call (DNC) registry requirements. The Affiliate must: (a) obtain all required consents; (b) provide clear unsubscribe mechanisms; (c) use accurate sender and subject information; and (d) honor opt-out requests promptly. DOJODIGI shall not be liable for any violation by the Affiliate of such laws, regulations, or requirements. The Affiliate agrees to indemnify and hold DOJODIGI harmless from any claims, penalties, damages, or complaints arising from the Affiliate’s non-compliance.

4.8 Privacy Allocation. For personal data collected by the Affiliate, the Affiliate acts as an independent data controller and shall provide its own privacy notice and handle data subject requests.

4.9 Marketing Claims. The Affiliate shall not make any claim regarding pricing, features, performance, ROI, or comparative superiority unless (i) expressly provided by DOJODIGI in approved materials, or (ii) pre-approved in writing by DOJODIGI. Testimonials must be genuine and not misleading.

4.10 Non-Solicit of Customers. During the Term and for 24 months thereafter, the Affiliate shall not knowingly solicit DOJODIGI’s then-current customers for competing services with respect to services the Affiliate promoted for DOJODIGI.

5. Commission Structure

5.1 Affiliates earn a 10% monthly commission on each paying referral for up to 24 months as long as the customer remains active and in good standing.

5.2 If the Affiliate directly closes the sale and the customer completes the registration and payment process independently, the commission rate increases to 20%.

5.3 Commissions are calculated only on the amounts received by DOJODIGI after any discounts, promotions, taxes, or refunds are applied.

5.4 DOJODIGI reserves the right to modify the commission structure and amount at anytime.

5.5 Restricted Payout on Non-Qualified Sales: DOJODIGI reserves the right to withhold or reduce commission payments if sales are deemed non-qualified. This includes fraudulent transactions, unauthorized or duplicate sales, or any sales generated through prohibited practices.

5.6. All commissions stated are exclusive of GST or applicable local taxes, unless otherwise stated. Affiliates are solely responsible for the payment of any taxes due on commissions received.

5.7 DOJODIGI reserves the right to revoke or adjust commissions if the Affiliate is found attempting to exploit the referral window (e.g., registering multiple shell accounts or referring self through proxy users).

5.8 DOJODIGI may, upon reasonable notice, audit the Affiliate’s records relating to Qualified Referrals, marketing practices, and compliance. The Affiliate shall retain such records for 24 months after termination.

6. Payouts and Payment Schedule

6.1 Commissions are paid on a monthly basis, typically within the first week of the month.

6.2 DOJODIGI enforces a 60-day hold on all payouts to account for eligibility, cancellations, chargebacks, or refunds.

6.3 Commission payments will be disbursed to the bank account or payment method provided by the Affiliate at registration. DOJODIGI reserves the right to adjust payment schedules and methods as needed.

6.4 Affiliates are responsible for any fees, taxes, or charges associated with receiving commission payments.

6.5 DOJODIGI may set off any amounts owed by the Affiliate against commissions payable and may suspend payouts during investigations of suspected breaches or fraud.

6.6 A SGD 50 minimum applies per payout cycle; unpaid balances roll over.

6.7 Commissions are paid in SGD, net of bank/processor fees. FX conversions use the processor’s rate at time of payment.

6.8 DOJODIGI may require identity and bank verification. Failure to pass KYC may result in suspension or termination and forfeiture of unpaid commissions.

7. Reporting Requirements

7.1 Affiliates must submit a completed reporting form via the provided link for each customer referral to ensure accurate tracking within three(3) days of referring the customer.

7.2 DOJODIGI will review the form and verify whether the referred customer has converted to a paying customer.

7.3 Failure to submit timely or accurate reports may result in delays or forfeiture of commission payments.

8. Refunds, Chargebacks, and Adjustments

8.1 If a referred customer receives a refund or issues a chargeback within 60 days of their initial payment, the Affiliate’s commission for that referral will be voided.

8.2 DOJODIGI reserves the right to adjust commissions if there are any payment discrepancies, suspected fraud, or unauthorised transactions.

9. Termination and Account Suspension

9.1 DOJODIGI reserves the right to terminate any Affiliate’s participation in the Program at any time, for any reason, including but not limited to, violation of these Terms, fraudulent activity, or misuse of the affiliate link.

9.2 Affiliates may voluntarily terminate their participation in the Program by providing written notice to DOJODIGI.

9.3 Upon termination, any pending or future commissions will be forfeited. Affiliates agree to cease all promotion of DOJODIGI services immediately upon termination.

9.4 Termination for Misrepresentation or Unauthorized Claims: DOJODIGI reserves the right to terminate an Affiliate’s participation in the Program if the Affiliate is found misrepresenting DOJODIGI, making unauthorized claims, or failing to adhere to DOJODIGI’s brand guidelines. Terminated Affiliates forfeit any pending commissions.

9.5 DOJODIGI may reject applications, deny admission, suspend access, or terminate any Affiliate at any time, with or without cause, in its sole discretion.

9.6 Upon termination for cause (including breach, fraud, misrepresentation, or brand misuse), all unpaid and future commissions are forfeited. Upon termination for convenience by DOJODIGI, commissions accrued and earned through the effective termination date remain payable, subject to holds/clawbacks; no further commissions accrue thereafter.

9.7 Post-Termination Obligations. The Affiliate must immediately cease all promotion, remove links and materials, and return or securely destroy DOJODIGI Confidential Information upon request.

10. Program Modifications

10.1 DOJODIGI reserves the right to modify, update, or discontinue the Program at any time without prior notice.

10.2 Affiliates will be notified of significant changes to the Program via the email address associated with their account. Notice shall be deemed effective upon dispatch and continued participation after 7 days constitutes acceptance.

10.3 Non-Guaranteed Access to Product Updates or New Features: DOJODIGI reserves the right to modify, discontinue, or restrict Affiliate access to certain Program features, updates, or new services without notice. Affiliates are not guaranteed continued access to all features in the event of changes to DOJODIGI’s platform.

10.4. DOJODIGI reserves the right to modify, reduce, or eliminate commission percentages, eligibility criteria, or the Affiliate Program entirely at any time, with or without prior notice. All such changes shall apply prospectively from the date of notice, unless otherwise stated. DOJODIGI shall not be liable to Affiliates for any loss of income, goodwill, or opportunity resulting from changes to or discontinuation of the Program.

10.5. In the event of Program termination, Affiliates will continue to receive commissions only on referrals made before the effective termination date for the remaining eligible payout period (if applicable), unless DOJODIGI decides otherwise in its sole discretion.

11. Confidentiality and Intellectual Property

11.1 Affiliates agree to keep all information regarding DOJODIGI’s business operations, strategies, and the Program strictly confidential.

11.2 All intellectual property related to DOJODIGI, including logos, trademarks, and promotional materials, remain the exclusive property of DOJODIGI. Affiliates are permitted to use approved materials solely for the purpose of promoting DOJODIGI in connection with the Program.

11.3 Insider Non-Compete. Where the Affiliate is given access to confidential technical or commercial roadmaps not publicly available, the Affiliate shall not develop, market, or sell a directly competing SaaS CRM platform within Singapore for 24 months from last access.

11.4 Misuse of DOJODIGI Branding or Materials: Affiliates may only use DOJODIGI-approved marketing materials in a manner consistent with DOJODIGI’s brand guidelines. Any misuse, alteration, or unauthorized creation of materials featuring DOJODIGI’s logo, trademarks, or intellectual property is grounds for immediate termination.

11.5 Search & Domains. The Affiliate shall not (a) bid on DOJODIGI trademarks/variants as keywords; (b) register domains incorporating DOJODIGI marks or confusingly similar variations; (c) use adware, forced clicks, or deceptive UX (“dark patterns”).

12. Liability Limitations

12.1 DOJODIGI is not liable for any damages, losses, or costs incurred by Affiliates as a result of participating in the Program, including, but not limited to, lost earnings, business interruptions, or reputational harm.

12.2 Affiliates participate in the Program at their own risk, and DOJODIGI does not guarantee any specific earnings or success.

12.3 Affiliate Indemnification: Affiliates agree to indemnify and hold DOJODIGI, its employees, and affiliates harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to the Affiliate’s conduct, violation of these Terms, or any actions deemed harmful to DOJODIGI’s reputation or business.

12.4 PDPA Indemnity. The Affiliate shall indemnify DOJODIGI for any losses, claims, fines, or costs arising from the Affiliate’s breach of this clause.

12.5 To the maximum extent permitted by law, DOJODIGI’s aggregate liability arising out of or relating to this Program shall not exceed the total commissions paid to the Affiliate in the 6 months preceding the event giving rise to the claim.

12.6 Neither party excludes liability for fraud or fraudulent misrepresentation. Nothing limits liability that cannot be limited under applicable law.

12.7 To the extent permitted by law, neither party shall be liable for indirect, special, or consequential loss, loss of profits, or loss of goodwill, provided that this does not limit DOJODIGI’s right to recover direct losses caused by the Affiliate’s breaches of clauses 4.7–4.10 and 11.

12.8 The Affiliate further acknowledges that it is solely responsible for its communications, and shall indemnify DOJODIGI against all losses, costs, or liabilities incurred as a result of any breach of this clause.

13. Compliance with Laws

13.1 Affiliates must comply with all applicable laws, including data protection regulations and advertising standards, when promoting DOJODIGI services.

13.2 DOJODIGI reserves the right to terminate any Affiliate found in violation of relevant laws or regulations.

14. Independent Contractor Relationship

14.1 Affiliates act as independent contractors and not as employees, agents, or representatives of DOJODIGI. Nothing in this Agreement creates a partnership, joint venture, or employer-employee relationship between DOJODIGI and any Affiliate.

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by the laws of the Republic of Singapore.

15.2 Any disputes arising from or related to this Program shall first be resolved through mediation. If unresolved, disputes shall be subject to arbitration in Singapore. Any arbitration shall be administered by SIAC under the SIAC Rules, seat Singapore, language English. Nothing prevents either party from seeking urgent injunctive relief in a court of competent jurisdiction.

16. Miscellaneous

16.1 Affiliates may not assign or transfer their rights or obligations under these Terms to any other party.

16.2 DOJODIGI’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.3 If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.4. DOJODIGI shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, war, government restrictions, network outages, or platform downtime caused by third-party providers.

16.5. These Terms and Conditions, together with any referenced policies and the main DOJODIGI Terms & Conditions, constitute the entire agreement between DOJODIGI and the Affiliate. In the event of any conflict, these Affiliate Program Terms shall prevail solely with respect to affiliate-related matters.

16.6 If any restraint in clauses 4.10 or 11.3 is unenforceable as drafted, the parties intend it to be severed/reduced to the extent necessary to be valid and enforceable.
